Select Representative Experience/Clients

Trilegal advised the Dutch multinational company Akzo Nobel N.V. on the proposed sale of its majority stake in the Indian subsidiary Akzo Nobel India to JSW Paints

The team conducted detailed due diligence on the Indian IP assets of the Dutch multinational company and the IP assets of the Indian subsidiary, provided strategic advice on Indian legal considerations for the licensing and transfer of IP rights, as well as on structuring the transfer of IP from an India law perspective. The team also reviewed and assisted the client in finalising the transaction documents.

Trilegal advised on the acquisition of the brand ‘Gini and Jony’ by Suditi Industries

Trilegal assisted in structuring the acquisition of the reputed ‘Gini and Jony’ apparel brand. The team examined the sufficiency of the existing trademark protections and assessed market risks relating to dilution of the brand by third parties. The team conducted detailed due diligence on IP assets, evaluated risks of brand dilution, and assessed the adequacy of existing protections. Trilegal also structured the transaction, drafted assignment agreements to enable a smooth transfer of ownership and assisted Suditi in bringing itself on record as the new trademark proprietor. 

Trilegal advised on the acquisition by Tata Consumer Products of up to 100% stake of Organic India

Trilegal advised Tata Consumer Products Limited on its 100% acquisition of Organic India Private Limited (a Fabindia subsidiary). Organic India is a leading health and wellness brand offering personal care, teas, and packaged foods. Trilegal’s IP team assessed IP protection through brand and third-party analyses, ensured core brand security, and handled drafting and negotiation of transaction documents, including website and content agreements. 

Trilegal advised a sportswear startup in connection with an equity investment

Trilegal conducted a comprehensive due diligence of the sports and leisurewear company’s prominent branding assets and all associated IP. This included assessing the adequacy of existing IP protection, identifying potential gaps or risks in brand ownership and enforceability, ensuring that all rights essential to the commercial exploitation and long-term value of the brand were properly secured, and advised the company on filing charge creation documents with the (Indian) Trade Marks Registry.

Trilegal advised Times Internet on investment by Dream11 into Cricbuzz & Willow TV

Trilegal acted as the legal advisor to Times Internet Limited (TIL) and Times Internet (UK) Limited in connection with the investment made by Sporta Technologies Private limited (Dream11) into Cricbuzz and Willow businesses, owned and controlled by TIL. Trilegal’s IP team advised on the structuring of the transaction, and assisted in drafting and reviewing the transaction documents, including the license agreement for right to use the ‘Cricbuzz’ trademark.

Acquisition of majority stake in VLCC Health Care by Carlyle Group

Trilegal advised Carlyle Group on the acquisition of a majority stake in VLCC Health Care Limited (VLCC). VLCC is a leading wellness & beauty services and products organisation founded by Mrs. Vandana Luthra in 1989, with customers across 310 locations in 143 cities. Trilegal’s IP team carried out a detailed due diligence on the IP assets of VLCC and prepared an intra-group brand license agreement between relevant entities of the VLCC group of companies. 

Trilegal advised Vadilal on group restructuring, professionalisation, and family settlement

Trilegal advised the Vadilal group and the Gandhi family on the family settlement and professionalisation of the group, and the group restructuring by way of amalgamation. Trilegal’s IP team undertook a comprehensive review of the ‘VADILAL’ brand portfolio, including all relevant trademark filings and registrations. The team advised the Vadilal group and the Gandhi family on brand usage strategy, taking into account historical settlement agreements that governed the use of the ‘VADILAL’ mark across distinct product categories and territories

Trilegal advised an American private equity (PE) firm and an American wealth management firm in filing a suit before the Delhi High Court

The American firms sought a permanent injunction to restrain unknown defendants (referred to as John Doe/Ashok Kumar) from operating infringing domain names that incorporated the firms’ trade names. In both cases, the unknown persons were misusing the client’s name to extort money from and dupe innocent persons. The Delhi High Court passed favourable orders in both cases, injuncting the defendants from passing off the trademarks of the firms and infringing the copyright of the firms in relation to the content and logos. 

Trilegal represented a US based engineering and software solutions firm and secured summary disposal of a copyright infringement suit instituted ex-parte

Trilegal successfully represented the client before the district courts of Delhi and secured summary disposal of a copyright infringement suit instituted ex-parte by a software company seeking permanent injunction, rendition of accounts, damages and costs, before the District Judge, Commercial Court, Saket, New Delhi. Trilegal secured a vacation of the injunction and a dismissal of the suit on the first date after it entered appearance on behalf of the US based engineering firm.

Advised a leading networking company on the commercial and regulatory aspects of the technology collaboration agreements with a Japanese MNC

The team assisted on the commercial and regulatory aspects of a cross-border technology collaboration for the development and commercialisation of Massive MIMO Radio and 4G/5G converged core technology. The firm helped structure the licensing arrangement, addressing key issues such as IP ownership, liability, and indemnity. Strategic advice was also provided on the protection of derivative and foreground IP arising from the collaboration.

The Trilegal team assisted a financial institution with its strategic investment in a consumer-focused company.

The team helped with transaction structuring, legal due diligence, and definitive documentation finalisation. As part of the transaction, the team assessed the adequacy of protection for the company’s brands and proprietary software.
