Overview
Mallika Chopra specialises in banking and finance and the debt capital markets. With over 16 years of experience, she advises on a spectrum of debt financing matters, with a special focus on structured debt transactions.
Mallika has in-depth experience in these areas. She regularly represents leading banks, financial institutions, multilateral financial institutions, and other credit providers (both domestic and overseas), as well as private equity sponsors, corporate borrowers, and real estate investment trusts.
Her expertise includes real estate finance, acquisition and sponsor finance, share or receivables-backed financings, structured finance, and trade finance.

Select representative clients/matters
- Advised various portfolio companies of Blackstone in India operating in the warehousing, data center, commercial and retail sectors, and their affiliates on secured financing facilities from banks and financial institutions in connection with projects across different states in India.
- Advised as transaction counsel in relation to the first issuance of listed secured non-convertible debentures by Nexus Select Trust (a real estate investment trust sponsored by Blackstone) for an aggregate amount of up to INR 1,000 crores.
- Advised as transaction counsel in relation to the first term loan facility availed by Nexus Select Trust from Bajaj Housing Finance Limited for an aggregate amount of up to INR 1,250 crores.
- Advised the Udaan group in connection with various non-convertible debenture issuances, including those subscribed to by EvolutionX Debt Capital.
- Advised Blackrock (Singapore) Limited and JM Financial Products Limited in relation to refinancing a stressed asset operating in the hotel space in India.
- Advised Embassy Office Parks REIT in connection with various issuances of listed secured non-convertible debentures, including the first-ever issuance of non-convertible debentures by a real estate investment trust in India aggregating up to INR 3,650 crores.
- Advised IFC on its bid for and subscription to INR-denominated listed and secured, non-convertible debentures issued by Mindspace Business Parks REIT.
- Advised IFC on its subscription to secured non-convertible debentures issued by leading housing finance companies and other Indian companies, including a hotel operator and a pharmaceutical company in India.
- Advised IFC on external commercial borrowing facilities, including leading housing finance companies in India.
- Advised Kotak Mahindra as an arranger in connection with certain acquisition financings.
- Advised Standard Chartered Bank on secured financings to companies operating in the real estate space and forming part of the Rustomjee group.
- Advised Standard Chartered Bank in relation to an offshore loan guaranteed and secured by a South City Projects group company.
- Advised ADB on its subscription to NCDs issued by Indian companies, including a renewable energy-focused company in India.
