Overview

Rahul Arora is a Partner at Trilegal, and a member of the Real Estate practice.

He represents eminent business houses, developers, investors, lenders and real estate funds in diverse real estate and infrastructure transactions. He has experience of having advised on conventional real estate projects and transactions as well as on various financing structures, FDI-related aspects, and legal and technical issues in the Indian real estate sector. He has earned a strong reputation for advising clients in unique “built-to-suit” transactions.

He regularly advises various clients, including Brookfield, Blackrock, Macquarie Capital, ACTIS LLP, Everstone, Indospace, Eversource, ESR, Yondrs Group, iSquared Capital, Axon Partners, GE Renewables, HDFC, Axis Bank in relation to their investments and lending(s) to the real estate and infrastructure projects.

Rahul is an active member of the FICCI Real Estate Committee and is regularly quoted in several leading real estate columns including Business Standard, LiveMint and MoneyControl.

Advised the following clients on documentation for real estate portfolio in India, renewable energy projects, risk analysis, review of licenses and approvals, and acquisitions:

  • Amplus Solar (A Petronas Group Company), in relation to its entire real estate portfolio in India, involving assistance with the drafting of real estate documentation, conducting title diligence, assistance in negotiating in acquisition of key commercial terms and advising on real estate aspects pre-financing stage
  • Sprng Energy (An Actis LLC Company), in relation to its entire real estate portfolio involving acquisitions, leasing of lands across several states in India for setting up of office spaces, renewable energy projects etc
  • International Finance Corporation, in relation to real estate aspects of its recent investment in Signature Global (India) Pvt Ltd through subscription to certain securities; assisted IFC in verification of title of the asset and in identifying the key legal risks and issues basis such review
  • Goldman Sachs, in relation to structured finance transaction for a commercial complex in Gurgaon, Haryana. Assistance involved review and analysis of development contracts, collaboration agreements, amendments, review of licenses and approvals relevant for the project, title due diligence of the land etc
  • Think Gas Distribution Pvt Ltd (ISquared LLC), in relation to its entire real estate portfolio involving the acquisition of more than 300 industrial and commercial locations for setting up of office spaces, city gas distribution networks etc. across Punjab, Haryana, Madhya Pradesh, Uttar Pradesh and Bihar
