Consequently, we have a deep understanding of the challenges involved in bidding, investment, development, financing, operations, restructuring and exits. Our multi-disciplinary team includes lawyers from our regulatory, construction, financing, real estate, environment, corporate M&A, and tax practices.​

Our energy practice covers all key sectors, including upstream oil and gas, downstream gas transportation and storage, fuels and lubricants and LNG; mining; and power and electricity, including renewables and nuclear, hydrogen, electric mobility, green hydrogen and storage. Our top-tier practice combines its vast regulatory and disputes expertise with experience in project development and financing to deliver value to clients in both greenfield project development and acquisitions.​

We have deep experience in advising clients on various aspects of investment, financing and development of mining and infrastructure projects and manufacturing facilities. We have also advised on a number of PPP projects, both in India and overseas, in the transportation (road, rail, and airports), ports, healthcare, housing, water and sanitation, waste management and other social and urban infrastructure sectors.

We also regularly advise multilateral and export credit agencies, commercial lenders, developers, sponsors and construction companies on various forms of credit facilities, including project and equipment finance denominated both in rupees and foreign currency.

  • Highways Infrastructure Trust (HIT) and Highway Concessions One Private Limited (HC1) in relation to its 100% investment in the roadway portfolios being constructed and operated by PNC Infratech (the “Sellers”).
  • MAIF Investments India Pte. Ltd. and MAIF Investments India 2 Pte. Ltd. on the sale of a 371 MW solar power portfolio comprising 21 SPVs to Actis Gemini Holdings and Actis Infrastructure India PCC Limited.
  • Tata Sons and Tata Electronics on the fiscal support agreement executed with India Semiconductor Mission, Ministry of Electronics and Information Technology, for establishing: (i) an indigenous Outsourced Semiconductor Assembly and Test (OSAT) facility in Jagiroad, Assam; and (ii) India’s first commercial semiconductor fab in Dholera, Gujarat.
  • Brookfield Asset Management on the sale of its 1.6 GW renewable energy portfolio in India to Gentari Renewables India. Trilegal acted as the transaction counsel for Brookfield and advised on all legal aspects of the sale process until closing of the transaction with Gentari.
  • EQT Infrastructures and MacRitchie on their sale of O2 Power to JSW Neo Energy. O2 Power is a platform jointly established by EQT Infrastructure and MacRitchie.
  • International Finance Corporation, the transaction advisor to the Chittagong Port Authority and the Government of Bangladesh, on a concession agreement for the development of a greenfield container terminal at Laldia, within the Chattogram Port, Bangladesh on a PPP basis.
  • IFC and the Government of Madhya Pradesh on developing solar plus storage projects with a capacity up to 600 MW, to supply peak power of 440 MWh in Morena Solar Park.
  • Toyota Tsusho India Private Limited (a subsidiary of Toyota Tsusho Corporation) on its joint venture with Cleanmax Enviro Energy Solution Private Limited, for development of renewable energy assets in India.
  • JSW Infrastructure Limited on the acquisition of 100% share capital of JSW Rail Infra Logistics, JSW Minerals Rail Logistics, and JSW (South) Rail Logistics from JSW Shipping and Logistics through its wholly owned subsidiary JSW Port Logistics.
  • Mirova.S.A a global pioneer in sustainable finance managing over $39 billion in assets, on its $30 million investment (its first investment in India and its largest single commitment to date globally under its nature-based carbon strategies) in Varaha’s “Kheti” soil carbon project in India.
  • Macquarie Corporate Holdings Pty. Ltd. and Aragorn Holding Company Two Pte. Ltd the sale of Aragorn Holding Company Two Pte. Ltd, which houses Vibrant Energy Holdings Pte. Ltd. (Vibrant) and its renewable energy platform in India.
  • Actis GP LLP and Beacon Meters Limited (collectively, Actis) on its joint venture with EDF India Private Limited for implementing advanced metering infrastructure systems (AMI systems) in India.
  • Copenhagen Infrastructure Partners, on proposed USD 100 million investment for setting up a platform with AMP Energy to undertake the development of renewable solar/wind/hybrid power projects in India
  • CDC Group plc, on the proposed investment by CDC in Fourth Partner Energy Pvt Ltd by way of subscription to unlisted non-convertible debentures on a private placement basis. Diligence of a total of 200+ solar power projects in India with an aggregate capacity of about 250MW, including 80MW of operational rooftop projects and a 100MW open access solar power project in the state of Uttar Pradesh
  • Macquarie Capital/Green Investment Group, on proposed investments in (i) Enerparc Energy Pvt Ltd; and (ii) Vibrant Energy group, for setting up of solar projects across the country
  • IFC and the:
    • Government of Fiji, in respect of the project relating to upgradation, development, operation and maintenance of Lautoka and Ba Hospitals in Fiji and in relation to developing an affordable housing project on a PPP basis
    • Government of Sri Lanka, in developing the first-ever large scale solar and wind projects
    • Government of Madhya Pradesh, in developing the 750 MW Rewa solar park project and three solar power parks of 1,500 MW
    • National Mission on Clean Ganga, State Governments and Urban Local Bodies (ULBs), on development of waste-water treatment facilities with private sector participation in the cities of Matura-Vrindavan, Varanasi and Haridwar to support the rejuvenation of Ganga under the “Namami Gange” PPP programme – one of the world’s largest integrated river restoration programmes
  • Consortium of export credit agencies, international banks and multilateral agencies, on the Indian law aspects of the transaction in relation to a financing of up to USD 16 billion to be availed by subsidiaries of ONGC Videsh Ltd, Oil India Ltd, Bharat Petroleum Corporation Ltd, for the purpose of development and production of gas from the Area 1 block situated in the Republic of Mozambique
  • Total S.A, on a joint venture with Adani Group, a large Indian conglomerate, to undertake LNG, LPG and city gas distribution business on a pan-India basis
  • ArcelorMittal Nippon Steel India Ltd (AMNSI), on bidding for iron ore mines and mining services agreements for the development, operations and maintenance of iron ore mines in Odisha
  • Virgin Hyperloop, on regulatory framework to set up a pilot hyperloop system in India based on the swiss challenge mode of procurement, and on their MoUs and framework agreements with various state governments in India
