Trilegal advised Enel in conducting the vendor due diligence and successful implementation of bidding process for execution of transaction documents for the sale of Enel Green Power Development S.r.l.’s 100% shareholding in Enel Green Power India Private Limited, along with its 23 subsidiaries, operating 640 MW (AC) of wind and solar projects, and having approximately 6.5 GW (DC) of pipeline renewable energy projects, to Waaree Energies Limited.
Enel Green Power Development S.r.l. (the Seller) is one of Europe’s largest renewable energy companies and operates renewable energy assets across India through Enel Green Power India Limited (EGPIPL). The operational portfolio also includes projects where EGPIPL holds the majority equity stake, along with a partner. This acquisition by Waaree Energies Limited (India’s largest manufacturer of solar PV modules with the largest aggregate installed capacity of 13.3 GW), which sees EGPIPL becoming a subsidiary of Waaree Energies Limited, is part of the company’s strategic efforts to diversify its revenue streams and expand its capabilities in the renewable energy sector. With this move, Waaree claims to strengthen its position in the wind energy space and expedite the growth of its Independent Power Producer business.
