Deal: Sale of Shriram Housing Finance to Warburg Pincus

Trilegal advised Shriram Finance Limited in relation to the sale of its controlling stake in Shriram Housing Finance Limited to Warburg Pincus LLC. As a part of this transaction, Valiant Partners L.P., Mauritius will also sell its entire stake in Shriram Housing Finance Limited to Warburg Pincus LLC.
Trilegal’s role involved: (i) conducting a vendor due diligence on Shriram Housing Finance Company, (ii) drafting, negotiating and finalising the transaction documents, and (iii) providing general advice under Indian law in relation to change in control of a housing finance company and other aspects of the transaction (including in connection with statutory filings, stamp duty, etc.)
It is the largest M&A deal in the housing finance sector and also marks Warburg’s largest investment in India. Shriram Housing Finance Limited is one of India’s leading players in the affordable housing segment.
