Trilegal advised SUN Mobility Pte. Ltd., a leading EV energy infrastructure company, on its strategic collaboration with IndianOil. The transaction involves both an investment by IndianOil in SUN Mobility and setting up of a 50:50 joint venture between SUN Mobility and IndianOil.

SUN Mobility currently supports more than 25,000 electric vehicles in India across 20 cities, using over 630 stations and 50,000+ smart batteries that clock over a million swaps per month while catering to various 2 and 3-wheeler customers.

This strategic joint venture aims to establish one of the world’s largest battery-swapping networks by leveraging IndianOil’s network of over 37,000 fuel stations across India to make SUN Mobility’s battery-swapping technology as accessible as conventional fuel stations. The joint venture expects to scale up to over 10,000 battery-swapping stations across 40+ cities in the next three years. It will enable seamless adoption of electric mobility across 2W, 3W and small 4W vehicles by providing a convenient “Battery as a Service” (BaaS) mobility solution.

IndianOil’s investment in SUN Mobility will bolster SUN Mobility’s efforts to develop world-class battery-swapping technology, large-scale local manufacturing and expansion to key global markets.

Trilegal’s role involved deal structuring and advising SUN Mobility on all aspects of the investment, joint venture and commercial transactions.

The Trilegal Team was led by our Partners – Kabeer Mathur and Jyotsna Jayaram, supported by attorneys Thomas Vallianeth (Counsel); Madhav Tampi, Akshaya Parthasarathy, Chinmay Bilgi, Akanksha Ravi, and Prabal De, (Senior Associates); Suyash Bhamore, Sanah Javed, Pereen Shah and Shloka Prashanth Rao (Associates).
