Deal: Trilegal Advised Rozana in its Series A Fundraise of USD 22.5 Million

Trilegal advised Freshcartons Retail and Distribution Private Limited, operating under the brand name ‘Rozana’, and its promoters, in relation to its fundraise of an amount equivalent to USD 22.5 Million from Bertelsmann Nederland B.V., Fireside Ventures and 3one4 Capital.
Trilegal acted as legal counsel to Rozana and its founders, advising and representing them in negotiating and finalizing the deal documents related to the fundraise as well as assistance in closure of the transaction.
The transaction team at Trilegal was led by our Corporate Partners Amit Khansaheb and Abhishek Dubey, and the team comprised of Ishita Sinha, Senior Associate, and Pallov Upadhyay, Associate.
Bombay Law Chambers acted as the transaction counsel to Bertelsmann and Fireside Ventures, and 3one4 Capital was represented by its in-house counsel.
Rozana facilitates the retail of various consumer goods in small Indian towns and villages, tackling challenges like poor connectivity and lack of infrastructure. To overcome this, Rozana employs a unique model where order placement, delivery, and payment collection are facilitated by local representatives called ‘peer partners’, ensuring wider product choices, better quality, and competitive pricing for rural consumers, and entrepreneurial opportunities for such ‘peer partners’.
Rozana’s cap table consists of prominent investors such as Vivek Gupta (Founder of Licious), Manisha Girotra (CEO of Moelis), and Surendra Kumar Jain (erstwhile co-founder and managing director of Sequoia & Westbridge Capital), Ramesh Damani and Catapult Advisory LLP.
