Trilegal advised on the stake sale of 17,56,01,314 equity shares of Adani Wilmar Limited (“Adani Wilmar“) by one of the promoters, the Adani group, through Adani Commodities LLP. The stake sale, aggregating to 13.51% of Adani Wilmar’s total share capital, was executed by way an offer for sale (“OFS“) through the stock exchange mechanism for a total consideration of ~INR 48.08 billion.
The OFS was undertaken with the objective of meeting minimum public shareholding requirements prescribed by SEBI. Additionally, the stake sale was part of the Adani group’s exit and divestment plan from Adani Wilmar, which was publicly announced on December 30, 2024.
Trilegal represented the syndicate of brokers, which comprised Jefferies India Private Limited, ICICI Securities Limited, Nuvama Wealth Management Limited, SBICAP Securities Limited and Antique Stock Broking Limited.
