Deal: Trilegal advised US based Caelux Corporation on first-of-its-kind transaction in India to supply energy-producing solar glass to Rayzon Solar and Navitas Solar for manufacturing 10 GW of advance PV module in India

Trilegal advised Caelux Corporation in drafting, negotiating and finalizing separate framework agreements with Navitas Solar and Rayzon Solar for the supply of energy producing solar glass to manufacture hybrid tandem photovoltaic (PV) modules in India.

The transaction involved negotiation and execution of two five-year master supply agreements for the manufacturing of a combined 10 GW of PV modules with 28% efficiency in India. Under this arrangement, Caelux will provide its proprietary energy producing solar glass for integration into modules manufactured by Navitas Solar and Rayzon Solar, creating ultra-high efficiency PV modules. These partnerships will help India advance its 60% clean energy goal by 2035 with a local supply chain.

Trilegal played a key role in structuring the transaction documentation by preparing the definitive documents, advising on the legal architecture of the framework agreements, and leading negotiations with both manufacturing partners to a successful closure. The team reviewed and refined the intellectual property framework to appropriately protect Caelux’s proprietary technology while facilitating its commercial deployment and advised on the allocation of commercial and operational risks between the parties.

These deals represent a first-of-its-kind commercial transaction in India for manufacturing advanced PV modules at a gigawatt scale, which is a significant milestone for the country’s “Make in India” initiative. These transactions bring together Caelux, a global leader in perovskite solar technology, with Navitas Solar and separately with Rayzon Solar to facilitate the commercialization of a combined 10 GW of next-generation advanced PV modules in India. The manufacturing combines two power-generation layers within a single module to increase energy output from the same installation footprint as compared to conventional silicon-only modules and is designed to achieve module efficiencies of up to 28%, with commercial deployment beginning in 2028.

The transactions are significant in scale, positioning the collaborations among the largest publicly announced ultra-high efficiency PV module commercialization initiatives in the Indian solar sector.
