Trilegal advised a leading Japanese Power Electronics company on the contractual arrangement for the erection, procurement, construction, design, engineering, commissioning and operation and maintenance (EPCM) of the green hydrogen demonstration plant to be developed at the client’s manufacturing facility at Tumakuru, Karnataka. The plant will be used for the generation of green hydrogen, and for the downstream utilisation of such hydrogen for conversion into electricity through fuel cells and for fuelling hydrogen-powered vehicles via a hydrogen dispensing station.
This transaction was legally innovative as it involved structuring the EPCM contract for a first-of-its-kind green hydrogen demonstration plant in India within an evolving regulatory framework. The contract required bespoke allocation of interface risks and delineation of construction and management responsibilities.
Trilegal’s mandate included drafting the contract to capture the project’s commercial and legal nuances, including weaving intricate technical specifications into the EPCM framework.
