Deal: Trilegal advised each of Infrastructure Yield Plus II, Infrastructure Yield Plus IIA, and India Infrastructure Yield Plus II on the sale of 100% of the shareholding of Kudgi Transmission to Anzen India Energy Yield Plus Trust

Trilegal advised each of Infrastructure Yield Plus II, Infrastructure Yield Plus IIA, and India Infrastructure Yield Plus II (each acting through its investment manager EAAA India Alternatives Limited) on the transfer of 100% of the shareholding of Kudgi Transmission Limited to Anzen India Energy Yield Plus Trust (acting through its investment manager EAAA Real Assets Managers Limited).

Kudgi Transmission Limited owns, operates, and maintains the Kudgi Transmission Line – incorporated in August 2013 and established to facilitate power evacuation from NTPC’s Kudgi Thermal Power Plant in Karnataka. The project comprises an extensive interstate transmission network connecting key substations across Karnataka and was commissioned on 24 September 2016. The project operates under a long-term Transmission Services Agreement with a tenure of 35 years.

The deal structure included unit swaps of Anzen India Energy Yield Plus Trust together with cash consideration. The final purchase consideration is subject to closing adjustments in accordance with the terms of the definitive documents.

Trilegal assisted each of Infrastructure Yield Plus II, Infrastructure Yield Plus IIA, and India Infrastructure Yield Plus II in drafting and negotiating the transaction documents.
