Trilegal advised The Supreme Industries Limited (Supreme), India’s largest plastics processor and a leading manufacturer of plastic piping systems, on its acquisition of pipes and fittings business in India of Wavin (part of the global Orbia Group).
The transaction is structured as a business transfer on a slump sale basis and involves three business transfer agreements with Wavin Industries Limited and its two subsidiaries, Wavin Holdings Limited and Wavin India Pipes and Fittings Manufacturing Private Limited (collectively, Wavin Entities). As part of the transaction, Supreme will also obtain exclusive access to Wavin’s advanced water management technologies in the SAARC region.
Trilegal (a) conducted a legal due diligence on the Wavin Entities; (b) reviewed, negotiated and finalised (i) the business transfer agreements and all ancillary documents, including conveyance deeds for transfer of immovable properties, intellectual property transfer agreements, and employment letters, and (ii) the master technology license agreement between Supreme and Wavin B.V. Netherlands; (c) assessed the notifiability of the transaction to the Competition Commission of India (CCI); and (d) advised on all other legal aspects of the transaction.
