Trilegal advised and represented Uprising Science Private Limited (which operates under the brand name of ‘Minimalist’) (“Minimalist”) and its founders (viz. Mr. Mohit Kumar Yadav and Mr. Rahul Yadav) in securing an unconditional approval from the Competition Commission of India in relation to the acquisition of Minimalist by Hindustan Unilever Limited (“HUL”).
Trilegal provided strategic counsel to Minimalist on Indian competition law aspects concerning the acquisition of Minimalist by HUL and assisted in successfully ensuring a smooth regulatory clearance.
This transaction is a remarkable testament to the rapid growth and emergence of Indian startups and the growing influence of direct-to-consumer (D2C) brands that engage with consumers through digital platforms. The deal is one of the largest all-cash acquisitions in the D2C space in India and may be seen as a strategic move by HUL and Minimalist to strengthen their already entrenched presence in the premium beauty and skincare segment, and transformation of its beauty & wellbeing portfolio to tap into evolving consumer demands and high-growth segments.
Further, the deal will enable Minimalist to expand its presence both domestically and internationally, while providing the brand with the essential resources required for growth in manufacturing, research and development, and offline retail expansion.
Uprising Science Private Limited is the parent company of the beauty and personal care brand Minimalist. Minimalist is a premium actives-led beauty brand and is primarily engaged in the business of manufacture and sale of beauty and personal care products such as skin care & body care products, baby care products and hair care products.
HUL is an Indian fast moving consumer goods company and is a subsidiary of Unilever, one of the world’s largest manufacturers of foods & refreshments, home care beauty & wellbeing and personal care products. HUL is engaged in the business of manufacture and sale of: (a) home care products; (b) beauty & personal care products; (c) food products; and (d) refreshment.
