Trilegal advised Avathon Capital on the Indian aspects of its 100% acquisition of OculusIT, LLC

Avathon Capital (Avathon) acquired a 100% stake in OculusIT, LLC (OculusIT) from ElevenX Capital. Trilegal advised Avathon on the acquisition of assets and work force in India as part of the US transaction.

This was not a typical India-leg and included undertaking legal due diligence, carving out the relevant business, assisting with structuring of the transaction including tax related structuring and incorporation of a wholly owned subsidiary, assisting with the drafting and negotiations in relation to relevant transaction documents, facilitating acquisition of assets and related transition services arrangements.
